1. Offer Overview

OnPoint Healthcare Partners, Inc. (“OnPoint,” “we,” “us,” or “our”) is pleased to offer eligible healthcare practices a complimentary Onsite Assessment and demonstration of our Practice Management as a Service (PMaaS™) platform (the “Offer”). This Offer is promoted via select advertising channels and requires use of Promo Code: #PMaaS.

The Offer includes:

  • A virtual or onsite assessment of your practice’s revenue cycle, EHR integration needs, and operational workflows (subject to availability).
  • A personalized demo of PMaaS™, showcasing AI-driven features, seamless EHR integration, and potential revenue growth tools.

No purchase is required to participate, but the Offer may lead to discussions about paid services.

2. Eligibility

To qualify for the Offer:

  • Your practice must be located in the continental United States (excluding Alaska, Hawaii, and U.S. territories).
  • You must have 10 or more providers (e.g., physicians, NPs, PAs) actively practicing.
  • You must submit a completed request form via our website, including accurate contact and practice details.
  • The request must be received by December 31, 2025, 11:59 PM PT.
  • The Offer is limited to the first 100 qualified entries on a first-come, first-served basis.

Ineligible participants: Competitors, resellers, individuals (non-practices), or entities that have participated in this Offer within the last 12 months. OnPoint reserves the right to verify eligibility and disqualify at our discretion.

3. How to Redeem

  1. Visit our landing page and complete the “Get My Free Demo” form.
  2. Mention Promo Code: #PMaaS in the Message field.
  3. A OnPoint representative will contact you within 5 business days to schedule (subject to availability).
  4. Assessments and demos must be completed by March 31, 2026.

Scheduling: Onsite visits are limited to practices within 100 miles of a major U.S. airport; otherwise, virtual delivery is provided at no extra cost. Travel expenses for onsite visits are covered by OnPoint up to $500; additional costs may apply and will be disclosed in advance.

4. Limitations and Restrictions

*Restrictions Apply: This Offer is void where prohibited by law. It is non-transferable, non-exchangeable, and cannot be combined with any other offers, discounts, or promotions. OnPoint may modify, suspend, or terminate the Offer at any time without notice. Participation constitutes acceptance of these Terms.
  • Quantity Limits: One Offer per practice/location; duplicates will be voided.
  • Availability: Subject to OnPoint’s scheduling capacity; wait times may exceed 30 days during peak periods.
  • No Cash Value: The Offer has no monetary value and is not redeemable for cash or credit.
  • Geographic Limits: Continental U.S. only; international practices are ineligible.

5. Timeline and Performance Expectations

Our marketing materials reference “Seamless EHR Integration Done in 30 Days” as a target timeline for compatible EHR systems (e.g., Epic, Athenahealth, Cerner). However:

  • This is an estimated average based on past implementations and assumes full client cooperation, standard configurations, and no unforeseen issues.
  • Actual timelines may vary from 15–90 days depending on factors such as data migration complexity, custom requirements, third-party approvals, or regulatory hurdles.
  • OnPoint will provide a detailed project plan post-assessment, including realistic milestones.

No Timeline Guarantee: Delays caused by client-side issues (e.g., incomplete data provision), force majeure events (e.g., natural disasters, pandemics), or EHR vendor dependencies are not attributable to OnPoint.

6. Disclaimers and No Warranties

THE OFFER IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

  • Statistics referenced (e.g., 98% Client Satisfaction, 15% Avg. Revenue Growth) are averages from select clients and not guaranteed outcomes. Results vary by practice size, specialty, and implementation.
  • The assessment and demo are for informational purposes only and do not constitute medical, financial, or legal advice.
  • OnPoint does not warrant compatibility with all EHR systems; a pre-assessment compatibility check is required.
  • KLAS Research 2025 Emerging Solutions Top 20 recognition is based on third-party evaluation and does not imply endorsement of this specific Offer.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONPOINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE OFFER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ONPOINT’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE OFFER (WHICH IS $0). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, ETC.).

You agree to indemnify and hold OnPoint harmless from any claims arising from your misuse of the Offer or inaccurate information provided in the form.

8. Privacy and Data Use

Information collected via the form (e.g., name, email, EHR details) is governed by our Privacy Policy. We collect data to schedule and deliver the Offer and may use it for follow-up communications. All data is handled in compliance with HIPAA and applicable laws. You consent to data sharing with OnPoint affiliates for Offer fulfillment.

9. General Terms

  • Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state of Texas.
  • Severability: If any provision is held invalid, the remainder remains in effect.
  • Entire Agreement: These Terms constitute the full agreement between you and OnPoint regarding the Offer.
